IN NO EVENT SHALL CHUY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO CHUY'S IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations above may not apply to you. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

The limitations of liability set forth in this section reflect a fair allocation of risk between you and Chuy's. The limitations specified in this section will survive and apply even if any limited remedy specified in these Terms is found to have failed of its essential purpose.

You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

You agree that any claim or cause of action arising out of or related to these Terms or the use of the Site must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred.

The arbitration shall be conducted by a recognized arbitration organization, such as the American Arbitration Association ("AAA"), in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in the English language. The decision of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND CHUY'S AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Chuy's agree in writing, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

12.4 Exceptions to Arbitration

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or other proprietary rights.

13. Term and Termination

These Terms shall remain in full force and effect while you use the Site or our services. We reserve the right, in our sole discretion, to:

• Terminate or suspend your access to all or part of the Site or services, with or without notice, for any reason, including without limitation any violation of these Terms

The rights and remedies provided herein are cumulative and not exclusive of any rights or remedies provided by law.
